Sebi Clears Mahanadi Coalfields IPO as Coal India Plans 10% Stake Sale
India's securities market regulator, the Securities and Exchange Board of India (Sebi), has given the green light to the initial public offering (IPO) of Mahanadi Coalfields, a subsidiary of the state-owned Coal India Limited. This move is set to mark one of the largest public offerings in the country this year and reflects the ongoing efforts by Coal India to unlock value from its subsidiaries.
Mahanadi Coalfields primarily operates in the eastern Indian state of Odisha and plays a significant role in the domestic coal industry. In the fiscal year 2026, the company accounted for approximately 21% of India's total coal production within the domestic market and contributed 28.4% to Coal India's overall output. Coal India itself is the world's biggest coal producer and was responsible for nearly 74% of the country's coal production during the same period.
Earlier in September, filings made by Coal India with Sebi revealed plans to sell a 10% equity stake in Mahanadi Coalfields through the IPO. The draft prospectus indicated that Coal India intends to offload up to 661.8 million shares in this offering. The proposed IPO could raise around $1 billion and place a valuation on Mahanadi Coalfields of up to $10 billion, according to reports from Bloomberg dated November 2.
This development follows Coal India's announcement in March that it was considering divesting up to 25% stakes in its subsidiaries Mahanadi Coalfields and South Eastern Coalfields through public listings or alternative mechanisms. These moves are part of a broader strategy to streamline the company’s structure and enhance shareholder value, while also raising capital for future expansion and modernization efforts.
The Indian capital markets have witnessed a series of high-profile IPOs this year, including listings by major players like Jio Platforms and the National Stock Exchange of India. These events highlight the strong investor interest in large-scale, marquee public offerings, driven by India's expanding economy and growing demand for infrastructure and energy resources.
The approval of Mahanadi Coalfields' IPO is expected to attract considerable attention from both domestic and international investors. Coal remains a critical component of India’s energy mix despite global shifts toward renewable sources. The country’s reliance on coal-fired power plants for electricity generation ensures that firms like Mahanadi Coalfields continue to hold strategic importance within the energy sector.
As the IPO launch date approaches, market participants will be watching closely to assess investor appetite and the potential impact on Coal India's financial position. If successful, the offering could provide Coal India with a significant influx of capital to fund ongoing projects and support its subsidiaries’ operational growth.
This development also fits into the larger context of government-backed enterprises tapping into capital markets to raise funds for infrastructure and development projects. With the Indian economy seeking to balance energy security and sustainability goals, the capital raised through these IPOs can be instrumental in supporting technological upgrades and environmental compliance initiatives within the coal sector.
