Bajaj Finance Plans Rs 17,500 Crore Fundraising via QIP and Warrants
Bajaj Finance, India's leading non-banking financial company (NBFC), has announced its intention to raise Rs 17,500 crore through a combination of a qualified institutional placement (QIP) and the issuance of warrants. This capital infusion aims to support the company’s ongoing expansion and growth initiatives.
On October 1, 2026, the company’s board approved a plan to raise Rs 11,700 crore via QIP, which involves selling shares to institutional investors, along with Rs 5,800 crore through preferential allotment of warrants to its promoter entity, Bajaj Finserv. This move marks Bajaj Finance’s first significant equity fundraising since it raised Rs 10,000 crore in November 2023.
Bajaj Finance will hold an extraordinary general meeting (EGM) to seek shareholder approval for the proposed QIP. The issuance of warrants to Bajaj Finserv will enable the promoter group to maintain its controlling stake of 51.30% in the NBFC. This strategy also sends a reassuring signal to the market, as the promoter’s increased skin in the game often encourages institutional investors to participate more confidently.
Industry analysts view this capital raise as a routine step for Bajaj Finance, which typically secures fresh funds every two to three years to fuel growth. An anonymous analyst from a private brokerage noted that although the Rs 17,500 crore figure is substantial, it remains moderate relative to the company’s large loan book, which exceeds Rs 5 lakh crore. Considering typical leverage multiples of five to six times, this capital injection could translate into more than Rs 1 lakh crore in new lending capacity for Bajaj Finance.
As of June 30, 2026, Bajaj Finance reported consolidated assets under management (AUM) of Rs 5.47 lakh crore, representing a 24% rise from Rs 4.41 lakh crore a year earlier. The company’s quarterly AUM growth stood at Rs 36,969 crore, reflecting robust demand for its loan products and financial services. Consolidated net profit for the quarter grew by 27% year-on-year, reaching Rs 5,986 crore. The firm’s capital adequacy ratio, a key measure of financial strength, was reported at 21% at the end of June.
Following the announcement, Bajaj Finance’s shares closed at Rs 949.35 on the Bombay Stock Exchange (BSE) on Thursday, down 1.24% from the previous trading day. The markets remained closed on Friday for Mahatma Gandhi Jayanti.
Bajaj Finance operates in a highly competitive NBFC sector, offering a range of lending and financial products across consumer finance, SME loans, and commercial lending. The company’s ability to raise capital efficiently is a critical factor in sustaining its growth momentum and meeting credit demand in the market.
With rising economic activity and increasing credit penetration in India, NBFCs like Bajaj Finance play an essential role in financial inclusion and providing access to credit beyond traditional banking channels. The planned capital raise positions Bajaj Finance to capitalize on these opportunities while maintaining its strong market position.
