Reliance Shares Trade at Discount to Jio Stake Ahead of IPO
Shares of Reliance Industries Ltd. currently reflect a significant discount compared to the value of its majority stake in Jio Platforms Ltd., the company's telecom subsidiary that is set to go public soon. Analysts indicate that this discrepancy could present investors with a more affordable way to gain exposure to Jio's growing business through Reliance's stock.
Nimish Maheshwari, co-founder of the independent research firm Beat The Street, estimates that Reliance’s shares imply around a 36 percent discount relative to its approximately two-thirds ownership of Jio. He suggests that a discount closer to 25 percent is more reasonable and sustainable, which aligns with market valuations of similar holdings such as Bharti Airtel Ltd.'s stakes in its listed subsidiaries.
Discounts of this nature are fairly typical for parent companies because shareholders do not have direct ownership of the underlying businesses but hold shares indirectly through the parent. After a subsidiary’s initial public offering (IPO), investors can purchase its shares directly, often leading to a narrowing of such discounts.
Thea Jamison, managing director at Change Global Investment, notes that while parent-company discounts can sometimes reach as high as 50 percent, there is no strong technical or fundamental reason for such a deep discount in Reliance’s case. She also points out that the manner in which Reliance decides to monetize its stake in Jio Platforms in the future could unlock additional value for shareholders.
According to Bloomberg News, Jio is aiming for a valuation of about ₹11 trillion (approximately $114 billion) in its upcoming IPO, potentially scheduled as early as this month. This would value Reliance’s stake at about ₹7.3 trillion, which corresponds to roughly 45 percent of Reliance’s current total market capitalization, based on Bloomberg's calculations.
Brokerage firms including Motilal Oswal, Yes Securities, and Nuvama have provided valuations ranging from ₹331 to ₹450 per Reliance share for the Jio stake. This implies that Jio accounts for approximately 27 percent to 37 percent of Reliance’s overall share price.
Reliance’s shares have declined by 23 percent so far this year, underperforming the 14 percent drop in the benchmark Nifty 50 Index. This decline has been attributed to several macroeconomic factors such as rising oil prices, higher global bond yields, and a weakening rupee, all of which have adversely affected Indian equities. Reliance faces particular exposure to these headwinds given its diverse operations across energy, consumer sectors, and capital-intensive industries.
The potential for Reliance shareholders to benefit from this discount depends largely on how Jio’s shares perform once listed. Maheshwari highlights that transparent price discovery is the critical catalyst, rather than immediate monetization of the stake. A higher valuation for Jio in the public markets would increase the visible value of Reliance’s holding and could help reduce the discount applied to the parent company.
Chokkalingam G, founder of Equinomics Research, adds that a clearer valuation for Jio would simplify the assessment of Reliance’s other businesses. He expects that the IPO will support a re-rating of Reliance shares as investors begin to evaluate its core operations more distinctly from its telecom asset.
Reliance Industries, led by billionaire Mukesh Ambani, is one of India’s largest conglomerates with diversified interests across energy, petrochemicals, retail, and telecommunications. The planned listing of Jio Platforms marks a significant step in unlocking the value of its telecom business, which has rapidly expanded since its launch and now plays a key role in India’s digital ecosystem.
Overall, the ongoing developments around Reliance and Jio highlight the evolving dynamics in India’s telecom market and the broader trend of conglomerates unlocking value through subsidiary listings. Investors will be watching closely as the Jio IPO unfolds and its impact on Reliance’s stock price becomes clearer.
