Tata Motors Ltd has announced an increase in its takeover bid for the Italian commercial vehicle manufacturer Iveco Group NV. The Indian automaker raised its offer price by 0.30 euro per share, bringing it to 14.40 euros per share. This adjustment comes in response to delays encountered in the regulatory approval process for the acquisition.

The initial plan to acquire Iveco was unveiled in 2025. Tata Motors intends to purchase the entire company, excluding Iveco's defence division, through its subsidiary TML CV Holdings Pte Ltd. The deal is valued at approximately 3.8 billion euros, which translates to nearly 38,240 crore Indian rupees.

Before the increase, Tata Motors had proposed an all-cash voluntary tender offer at 14.10 euros per share, placing the overall transaction value at around 3.82 billion euros. The tender offer was launched in early September and is open to all outstanding common shareholders of Iveco. The acceptance window extends from September 7 to October 26, 2026.

In parallel with the tender offer, Iveco Group shareholders are scheduled to participate in an extraordinary general meeting on October 16, where they will vote on relevant resolutions associated with the acquisition. The board of directors at Iveco has expressed unanimous support for the transaction and has recommended that shareholders both tender their shares and vote in favor of the proposed deal.

The board has also noted that the previous offer price already represented fair value based on the company’s outlook and market conditions. However, acknowledging the regulatory delays, Tata Motors chose to enhance the offer to maintain momentum and encourage shareholder approval.

This acquisition forms a significant move by Tata Motors to expand its presence in the global commercial vehicle market. Iveco, known for its trucks and buses, complements Tata Motors’ existing portfolio, particularly its commercial vehicle segment. The deal excludes Iveco’s defence business, focusing instead on strengthening Tata Motors’ capabilities in civilian commercial transportation.

The commercial vehicle sector has seen increasing consolidation as manufacturers seek to enhance scale, technology, and geographic reach. Tata Motors’ strategy aligns with broader industry trends where Asian automakers are looking to acquire established European firms to tap into mature markets and advanced technology platforms.

Stakeholders are closely watching the regulatory authorization process, which has caused the delay. Such approvals are critical for cross-border deals of this scale, involving competition authorities and other regulatory bodies to ensure compliance with local and international laws.

Once completed, the acquisition is expected to bolster Tata Motors’ position as a leading global commercial vehicle manufacturer. It may provide opportunities for product innovation, supply chain integration, and expanded market access across Europe and other regions.

In summary, Tata Motors’ decision to raise its offer to 14.40 euros per share reflects a pragmatic approach to overcoming the hurdles posed by regulatory delays. With support from Iveco’s board and an ongoing shareholder vote, the transaction remains on track for completion, marking a notable development in the commercial vehicle industry’s evolving landscape.
