Noel Tata, the chairman of Tata Trusts, has formally contested the resolution passed by Tata Sons' board to extend N Chandrasekaran's tenure as chairman beyond February 2027. The resolution was approved during the board meeting held on September 17, but the dispute has brought internal disagreements within the century-old conglomerate into public view.

On Monday, Noel Tata submitted a letter to Suprakash Mukhopadhyay, the company secretary of Tata Sons, challenging the validity of the resolution. Sources close to the matter revealed that Noel Tata argued the resolution was void for several reasons, including inadequate notice and the absence of this issue on the official agenda for the meeting.

According to these sources, the agenda for the September 17 meeting was limited to a briefing from the nomination and remuneration committee, and the reappointment of Chandrasekaran was introduced unexpectedly. Noel Tata maintains that such a significant decision should have been flagged in advance and properly tabled for discussion and vote.

Efforts to obtain comments from Tata Sons and Tata Trusts on the dispute have so far not yielded any response. This disagreement highlights the complex governance dynamics within Tata Sons, which is India's largest conglomerate holding company.

Noel Tata, who leads Tata Trusts—the majority shareholder controlling nearly two-thirds of Tata Sons—had opposed the extension of Chandrasekaran's chairmanship when the vote took place. Venu Srinivasan, another Tata Trusts nominee on the Tata Sons board, supported the reappointment, aligning with the majority of board members.

Other directors who voted in favor of Chandrasekaran’s continued leadership include Anita George, Harish Manwani, and Saurabh Agarwal. This split in the Tata Trusts’ representation on the board underscores divergent views within the Trusts themselves regarding governance and leadership strategy.

Under the Articles of Association of Tata Sons, the approval of Tata Trusts’ nominee directors is essential for a resolution to pass. Noel Tata’s challenge references this requirement, asserting that the reappointment resolution did not have the necessary unanimous consent from the Trusts' representatives.

The letter also requests access to an unedited video recording of the board meeting where the resolution was passed. This move suggests that Noel Tata is seeking transparency and documentation to support his claim that procedural norms were not followed during the meeting.

The debate over Chandrasekaran’s reappointment occurs at a time when Tata Sons continues to navigate its position as a dominant player in multiple sectors including automotive, information technology, steel, and consumer goods. Leadership stability at the holding company is critical as it influences the strategic direction of its numerous subsidiaries and joint ventures.

Chandrasekaran, who took over as chairman of Tata Sons in 2017, has overseen significant transformations including digital expansion and portfolio restructuring. His leadership style and decisions have been scrutinized and supported within different factions of the Tata group.

This recent conflict reflects the challenges faced by large conglomerates in balancing legacy governance frameworks with evolving expectations from stakeholders. Tata Sons, with its long history and substantial economic footprint, remains under close watch as it addresses these internal governance conflicts.

Observers note that the resolution dispute could have implications beyond the immediate boardroom, impacting investor confidence and the future leadership landscape of one of India’s most respected business houses.
