PTC India to Invest ₹65 Crore in New Mineral Exchange Subsidiary
PTC India Ltd, a leading power trading company, has taken a significant step towards expanding its business portfolio by approving the creation of a wholly-owned subsidiary dedicated to establishing and operating a mineral exchange in India. The company's board sanctioned an equity investment of up to ₹65 crore for this new venture.
The decision was finalized during the board meeting held on October 26, 2026. The proposed subsidiary, often referred to as a Special Purpose Vehicle (SPV), will be fully owned by PTC India and is intended to function under the regulatory framework outlined by the Mineral Exchange Rules of 2026.
This new mineral exchange aims to facilitate delivery-based electronic trading of approved minerals. By doing so, it will provide a structured platform for the buying and selling of minerals, which could potentially streamline market operations and improve transparency within the sector.
The regulatory authority overseeing this initiative is the Indian Bureau of Mines (IBM). IBM has invited applications from companies interested in setting up mineral exchanges, with the original deadline for submissions set for November 2, 2026. However, PTC India has requested an extension to this deadline, allowing additional time to complete the necessary formalities.
Once the SPV is incorporated, PTC India will submit the formal application to IBM. The issuance of a Certificate of Registration by IBM will be conditional, subject to compliance with prescribed requirements and approval by the Central Government.
Regarding the financial structure, the board has approved an initial paid-up capital subscription of ₹10 crore. This capital corresponds to one crore equity shares priced at ₹10 each, all subscribed in cash by PTC India, reflecting their complete ownership stake in the subsidiary. The total planned investment of ₹65 crore will be infused progressively to support the subsidiary's operations and development.
PTC India’s strategic move into mineral trading aligns with broader trends in the Indian commodities market, where increased regulation and the establishment of formal exchanges are gradually modernizing how minerals are traded. This development could potentially bring more efficiency and reliability to mineral transactions, benefiting producers, consumers, and investors alike.
PTC India, primarily known for its expertise in power trading solutions, is leveraging its experience in electronic trading platforms to create a similar infrastructure for mineral trading. The company’s entry into this space may also encourage other firms to explore digital and regulated avenues for commodity exchanges, contributing to the evolution of India’s mineral sector.
The formation of this subsidiary and the investment commitment underscore PTC India’s intent to diversify its business operations while supporting government initiatives aimed at enhancing transparency and governance in mineral resources.
As the application process with IBM progresses, the market will be watching closely to see how this new exchange develops and what impact it will have on mineral trade practices across India.
