MCA Extends FY26 Annual Filing Deadlines, Waives Late Fees
The Ministry of Corporate Affairs (MCA) has announced an extension for companies to submit their financial statements and annual returns for the financial year 2025-26 without incurring late fees. This move responds to requests from stakeholders who sought additional time due to challenges faced during the filing process.
According to a circular released on October 24, companies may now file their financial statements through the various versions of Form AOC-4, including consolidated statements, XBRL (eXtensible Business Reporting Language) formatted filings, and those applicable to non-banking financial companies (NBFCs), by December 31, 2026, without paying any extra fees. Additionally, the deadline for submitting annual returns using Forms MGT-7 and MGT-7A has been extended to January 31, 2027.
Form AOC-4 serves as the official document to file a company’s financial statements with the Registrar of Companies (RoC). Its versions accommodate different filing needs such as consolidated accounts, XBRL reporting, and NBFC-specific disclosures. Form MGT-7 is used for annual returns of companies in general, while MGT-7A is tailored for one-person companies and small companies.
This extension follows concerns raised by company secretaries and other professionals about technical difficulties encountered on the MCA-21 Version 3 portal, the central online platform managed by MCA for statutory filings and corporate registry services. The Institute of Company Secretaries of India (ICSI) formally requested the extension in a representation submitted on October 9, highlighting frequent glitches, portal downtime, and the increased complexity of compliance under revised forms.
ICSI’s communication pointed out several issues affecting users of the MCA portal, including persistent system slowdowns, session timeouts, automatic logouts during form completion, login problems, challenges with profile updates and user access management, errors in pre-filled data, and inconsistencies in data retrieval. Moreover, difficulties were reported in associating Digital Signature Certificates (DSCs), failures in form validation despite accurate data entry, and obstacles in downloading, viewing, and tracking submitted forms and approvals.
Pawan G Chandak, president of ICSI, noted in a statement to Business Standard that operational and technical hurdles could prevent otherwise compliant entities from meeting filing deadlines. He emphasized that the request aims to prevent companies from facing penalties due to issues beyond their control during this transitional phase.
The MCA’s circular also clarifies that the deadline extensions pertain only to the filing of financial statements and annual returns. The statutory timelines for conducting annual general meetings (AGMs) remain unchanged and companies must adhere to those schedules.
It is relevant to mention that the MCA had previously granted two deadline extensions for the financial year 2024-25 filings, through circulars issued on October 17, 2025, and December 30, 2025. These extensions indicate the ministry’s ongoing efforts to accommodate companies as they adapt to new compliance requirements and technological upgrades on the MCA portal.
The extension of filing deadlines without additional fees provides companies with much-needed flexibility and reduces the risk of penalties during a period of significant procedural changes. It also reflects the government’s recognition of the challenges faced by corporate entities amid modernization of digital compliance platforms.
For businesses, timely submission of financial statements and annual returns is critical for maintaining transparency, regulatory compliance, and investor confidence. The MCA’s decision helps alleviate pressure on companies and professionals while ensuring continued adherence to statutory obligations.
As the MCA-21 Version 3 system continues to evolve, further updates and support from the ministry may be expected to streamline the filing process. Corporate stakeholders will be watching closely to see how these changes influence overall compliance efficiency in the coming years.
