Transport Corp Approves Rs 150 Crore Share Buyback and China Subsidiary Setup
Transport Corporation's board of directors has given the nod to a share buyback program worth Rs 150 crore and the creation of a wholly owned subsidiary in China, signaling a strategic push towards strengthening its position in the international logistics market. The decisions were finalized in a board meeting held on September 29, 2026.
The company intends to repurchase up to 15.62 lakh equity shares, each with a face value of Rs 2. The buyback price is set at Rs 960 per share, which is approximately 11 percent higher than the current market price. This premium reflects the company’s commitment to enhancing shareholder value.
This buyback accounts for about 2 percent of Transport Corporation’s total paid-up equity share capital. The total amount allocated for the buyback excludes associated costs such as brokerage fees, taxes, legal charges, and public announcement expenses. According to the company’s audited financial statements as of March 2026, the buyback size represents 6.76 percent of its standalone equity capital and free reserves, and 6.15 percent on a consolidated basis.
The repurchase will be conducted through the tender offer method on a proportionate basis. It will be open to all eligible shareholders and beneficial owners recorded as of the designated record date, which has been fixed as October 9, 2026. Notably, promoters and promoter group entities have declared that they will not participate in this buyback, leaving the opportunity predominantly for public shareholders.
To oversee the buyback process, a dedicated buyback committee has been formed and granted authority to execute all necessary steps. This move is seen as part of the company’s broader financial strategy to optimize its capital structure and deliver returns to shareholders.
In addition to the buyback, the board sanctioned the establishment of a wholly owned subsidiary in the People’s Republic of China. This development aligns with Transport Corporation’s international growth ambitions, aiming to expand its logistics network within major global trade corridors.
China, recognized as one of the world’s largest manufacturing and trading centers, presents significant opportunities for logistics companies. By setting up a local subsidiary, Transport Corporation aims to deepen its engagement with customers and partners in the region and enhance its service coverage across key trade routes in Asia and beyond.
Expanding into China is a strategic step for the company as it seeks to capitalize on growing cross-border trade and supply chain demands. The subsidiary is expected to facilitate smoother operations and enable Transport Corporation to better navigate the complexities of the regional logistics environment.
Transport Corporation has been actively pursuing growth through both organic and inorganic means, and this latest move reflects a continued focus on strengthening its footprint in the international logistics sector. The share buyback is intended to return capital to investors while the Chinese subsidiary marks a significant expansion into a critical market.
Investors and market watchers will be observing how these initiatives influence the company's performance and positioning in the competitive logistics industry. With global trade patterns evolving and companies increasingly seeking integrated logistics solutions, Transport Corporation’s plans indicate a proactive approach to capturing emerging opportunities.
