Sebi Clears Vinod Adani of Control in FPI Investments, Drops MPS Case

The Securities and Exchange Board of India (Sebi) announced on Monday that it did not find sufficient proof to confirm that Vinod Adani, the brother of Gautam Adani who chairs the Adani Group, exercised control over investments made by two foreign portfolio investors (FPIs) in several listed companies within the Adani conglomerate. As a result, Sebi has dropped the proceedings related to alleged breaches of the minimum public shareholding (MPS) requirements.

Minimum public shareholding rules mandate that publicly listed companies maintain at least 25 percent of their shares with the public, distinct from promoters and entities closely associated with the promoter group. This ensures that a certain proportion of shares remains in genuinely independent hands rather than concentrated within promoter circles.

In its final order, Sebi clarified that there was no evidence indicating Vinod Adani directed the management or influenced policy decisions of the FPIs under scrutiny. The same conclusion was drawn regarding Opal Investments’ stake in Adani Power Limited (APL).

The regulator also pointed out that no allegations were made suggesting Vinod Adani financed these investments in the Adani Group companies. Had such claims existed and been supported by evidence, the case might have taken a different course.

Earlier in the investigation, Sebi had issued a show-cause notice alleging that certain entities earned wrongful gains totaling ₹1,984 crore by using a specific investment structure. This structure involved the FPIs Emerging India Focus Funds (EIFF) and EM Resurgent Fund (EMR) acquiring shares in companies like Adani Enterprises, Adani Power Limited, Adani Ports & Special Economic Zone, and Adani Transmission (now rebranded as Adani Energy Solutions).

The regulator’s examination took into account judgments from various courts, including the Supreme Court, which emphasized that establishing de facto control requires clear evidence of a party directing management or policy decisions. Control cannot be presumed based solely on business or financial relationships.

According to the Sebi order, the assumption that Vinod Adani controls these FPIs merely because of business ties or financial dealings is unfounded. Such conclusions could lead to unintended consequences for enforcing securities laws within capital markets.

While the case against Vinod Adani was dismissed, Sebi did confirm violations related to the failure to provide accurate and complete information by Nasser Ali Shaban Ahli and Chang Chung-Ling. Both individuals were fined ₹20 lakh each for these infractions.

Other entities named in the initial show-cause notice have already resolved their cases by paying settlement amounts to the regulator.

This development comes amid broader scrutiny of the Adani Group, a major Indian conglomerate with interests spanning from coal and power to ports and infrastructure. The group's intricate corporate structure and investment patterns have attracted attention from regulators and market watchers alike.

Ensuring compliance with minimum public shareholding norms is critical for maintaining transparency and fairness in India’s capital markets. These rules promote wider share distribution and prevent excessive concentration of ownership, which can affect market integrity.

Sebi’s decision underscores the importance of clear evidence when attributing control and influence over investment entities. It also highlights the regulator’s cautious approach to avoid penalizing parties based on indirect relationships without substantial proof.

As India’s financial markets continue evolving, adherence to regulatory norms remains a key factor in sustaining investor confidence and market stability. Cases like this illustrate the challenges regulators face in balancing enforcement with fairness in complex corporate environments.
