Coca-Cola Plans December IPO Filing for Indian Bottling Unit

Coca-Cola is preparing to submit a draft prospectus as early as December for an initial public offering (IPO) of its Indian bottling subsidiary, Hindustan Coca-Cola Beverages Pvt, according to sources familiar with the matter. The Atlanta-headquartered beverage company has expanded its list of financial advisors by bringing on Axis Capital Ltd. and IIFL Capital Services Ltd. to assist with the IPO process.

The company is already collaborating with several prominent institutions, including Kotak Mahindra Capital Co., Citigroup Inc., JPMorgan Chase & Co., and Morgan Stanley, to structure the offering. These banks are playing key roles in navigating the regulatory and market requirements for the planned public listing.

Insiders indicate that the IPO is largely expected to involve the sale of shares by current investors rather than Coca-Cola issuing new shares. The parent company aims for a valuation of approximately $10 billion for its Indian bottling unit. Previous reports from Bloomberg suggested the offering could raise close to $1 billion, though specifics such as the timing, valuation, and structure remain under discussion and could evolve before the final filing.

Hindustan Coca-Cola Beverages Pvt is one of the largest bottling operations in India, supporting Coca-Cola’s extensive portfolio of beverages in the region. Taking the company public would allow Coca-Cola to unlock significant shareholder value and capitalize on robust investor appetite for equity offerings in India’s market.

India’s IPO market has been particularly active recently. In the third quarter alone, the total funds raised from initial public offerings approached $10 billion, marking a record high for that period. Major listings like those of National Stock Exchange of India Ltd. and SBI Funds Management Ltd. contributed substantially to this surge.

With nearly 250 IPOs completed so far this year, the Indian market is on pace for one of its most productive years ever in terms of capital raised, surpassing $13 billion. This momentum reflects growing investor confidence and interest in Indian equities, making it an opportune time for Coca-Cola’s bottling unit to enter the public markets.

The ongoing preparations by Coca-Cola and its banking partners underscore the company’s strategic intent to deepen its engagement in the Indian market. By going public, Hindustan Coca-Cola Beverages Pvt would gain greater visibility and potentially enhanced access to capital for future expansion initiatives.

Representatives from Coca-Cola and the involved financial institutions have not yet commented publicly on the IPO plans. The situation remains fluid as regulatory filings and market conditions will influence the final timeline and offering details.

This potential IPO is a significant development amidst increasing global interest in India’s consumer and beverage sectors. Coca-Cola’s move aligns with a broader trend of multinational corporations seeking to capitalize on India’s growing middle class and expanding consumption patterns.
