Bonfiglioli Transmissions, the Indian subsidiary of Italy's Bonfiglioli S.p.A., has launched its initial public offering (IPO) this week, aiming to raise ₹2,533.66 crore. The public subscription began on Thursday, October 15, and will remain open until Monday, October 19. This offering is structured as an offer for sale, meaning no fresh capital will be infused into the company; all proceeds from the IPO will go directly to the selling shareholders, primarily the promoters.

The price band for the shares is fixed between ₹558 and ₹586 per share. Bonfiglioli Transmissions is recognized as India’s leading technology-driven provider of power transmission and industrial drive solutions. The firm operates three manufacturing plants focused on gearboxes, gear motors, and drive systems catering to three main sectors: Industry & Automation, Off-Highway Mobility, and Wind Energy.

From 2023 to 2025, the company reported a compound annual growth rate (CAGR) of 9.2% in revenue, 23.3% in earnings before interest, taxes, depreciation, and amortization (EBITDA), and 27.4% in profit after tax (PAT). Additionally, it maintained strong return metrics with a return on capital employed (RoCE) of 33.5% and return on equity (RoE) of 24% projected for 2025. These figures surpass many competitors in the sector, according to analysis from SBI Securities.

The IPO has attracted positive attention from market experts and investors. It stands among the four major IPOs debuting this week on the main board, collectively aiming to raise around ₹9,000 crore. The grey market premium (GMP), which signals investor demand before official listing, is reported at ₹178 per share, representing a 30% premium. This suggests that the stock could list near ₹764, well above the upper price band.

Analyst Perspectives

SBI Securities highlights the strength of Bonfiglioli’s dealer network, which includes 44 dealers as of June 2026. Notably, 16 dealers have been associated with the company for over two decades, with 36 operating exclusively for Bonfiglioli, ensuring broad market penetration and strong customer loyalty. The company's valuation at the upper price band translates to a price-to-earnings (P/E) ratio of 46.3 times for 2025 and 37.1 times for 2026, aligning with peer valuations. SBI Securities recommends investors subscribe at the cut-off price, citing the company’s diversified business, solid returns, and favorable industry trends in automation, off-highway vehicles, and wind energy.

Anand Rathi’s analysis notes that at ₹586 per share, the company holds a P/E of 47.7 times and an enterprise value to EBITDA (EV/EBITDA) of 60.7 times for 2026, implying a market capitalization of approximately ₹11,016.6 crore. While the valuation appears full, the firm sees long-term growth potential driven by industrial modernization, automation adoption, and renewable energy expansion. Risks include cyclicality in end markets, competition, and input cost fluctuations. Anand Rathi assigns a subscribe rating for long-term investors.

Swastika Capital points out that the valuation leaves little scope for immediate sharp gains on listing day but fairly reflects Bonfiglioli’s market leadership, strong parent company support, and healthy balance sheet. The company’s EBITDA margins have improved from 18.4% in fiscal 2025 to 19.8% in the first quarter of fiscal 2027, supported by increased localization of components and rising demand in wind turbine drives. The low debt-to-equity ratio of around 0.12 enables self-funded expansion without impacting returns. Swastika views the firm as a quality long-term investment, benefiting from India’s industrial automation and renewable energy growth drivers.

Market Context and Implications

Bonfiglioli Transmissions operates within a sector that is witnessing significant transformation. Industrial automation is increasingly adopted across manufacturing, while renewable energy, especially wind power, is expanding rapidly in India. Companies supplying critical components for these industries stand to gain from rising capital expenditure and technological upgrades.

The IPO’s success will be closely watched as a barometer of investor appetite for industrial and manufacturing stocks amid broader market volatility. The strong grey market premium and positive analyst recommendations indicate confidence in Bonfiglioli’s business model and growth prospects.

Investors interested in the IPO should consider the company’s financial health, market position, and sector trends alongside valuation metrics. While the offer presents an opportunity to participate in a leading industrial player, potential risks related to market cyclicality and input costs must be kept in mind.

Overall, the Bonfiglioli Transmissions IPO offers a chance to invest in a technology-focused industrial company positioned at the intersection of industrial automation and renewable energy, sectors expected to drive India’s manufacturing growth in the coming years.
