SEBI Approves Settlement with Adani Group on Public Float Violations
India's Securities and Exchange Board (SEBI) has given the green light for a settlement involving Adani Group Chairman Gautam Adani and four of his affiliated companies. This resolution addresses regulatory breaches concerning the mandatory minimum public shareholding threshold of 25 percent.
The settlement agreement includes a payment of 14.82 million rupees, equivalent to approximately $154,403, which covers penalties for lapses in maintaining the prescribed public float. The four companies involved are Adani Enterprises, Adani Power, Adani Ports and Special Economic Zone Limited, and Adani Transmission, which has recently been renamed Adani Energy Solutions. Fourteen directors from these companies, including Gautam Adani himself, have been part of this agreement.
SEBI's investigation began following complaints lodged in 2020, pointing out that these entities were not complying with the regulatory framework requiring at least 25 percent of shares to be held by the public. The regulator's notices highlighted issues related to the minimum public shareholding rules and shareholding disclosure norms. However, the settlement does not mandate any corrective disclosures about shareholding changes, nor does it conclude with a formal finding of wrongdoing.
This development comes amid a broader inquiry by SEBI, which has been conducting at least 24 separate investigations into the Adani Group. These probes intensified after a 2023 report by the US-based short-seller Hindenburg Research accused the conglomerate of stock price manipulation through the use of offshore tax havens. The Adani Group has consistently denied these allegations.
Over the past year, SEBI has resolved multiple cases involving the group through settlements similar to this one. Nevertheless, the regulator continues to investigate complex issues, including whether foreign investors were used to bypass Indian securities regulations and if there was any direct manipulation of stock trading related to Adani companies.
Market watchers see this settlement as part of a continuing process by Indian regulators to enforce transparency and compliance in the country’s capital markets. Public float requirements are crucial for ensuring sufficient liquidity and fair market access for investors, helping maintain investor confidence in listed companies.
The Adani Group is one of India's largest conglomerates, with interests spanning infrastructure, power, ports, and energy solutions. Compliance with regulatory standards is essential to its ongoing operations and market reputation. SEBI's actions reflect a broader effort to uphold governance standards amid rising scrutiny of corporate practices in India’s rapidly developing economy.
Requests for comments from the Adani Group regarding this settlement have not been immediately answered. Meanwhile, market participants continue to follow the outcome of ongoing SEBI investigations closely, as these could have significant implications for investor trust and regulatory oversight in India’s stock markets.
