Sammaan Capital Promoter Avenir Investment Raises Stake to 33.32%

Sammaan Capital's promoter, Avenir Investment RSC Ltd, has boosted its ownership in the company by converting warrants into equity shares, raising its stake from 28.34 percent to 33.32 percent. This move was confirmed through a regulatory filing released on October 30, 2026.

On the same day, the Securities Issuance and Investment Committee of Sammaan Capital approved the allotment of 8.69 crore fully paid-up equity shares to Avenir Investment. These shares were issued at a price of Rs 139 each, following the promoter's payment of the remaining 75 percent subscription amount for the warrants. The total value of this conversion amounts to approximately Rs 906 crore.

The warrants converted were originally allotted to Avenir Investment on March 31, 2026, through a preferential issue conducted via a private placement. Each warrant entitled the holder to subscribe to one fully paid-up equity share, with a nominal value of Rs 2 per share. This conversion has resulted in a significant increase in Avenir's stake in Sammaan Capital.

Despite this conversion, Avenir Investment still holds 21.98 crore warrants. These remaining warrants can be exercised in one or multiple tranches until the deadline of September 30, 2027. Should all these outstanding warrants be converted, and barring any change in the company’s share capital, the promoter’s holding could rise further to 43.28 percent.

Following the allotment of new shares, Sammaan Capital’s paid-up equity share capital has expanded to roughly Rs 2,498.89 crore. This total comprises 124.84 crore fully paid-up equity shares alongside 30.13 lakh partly paid-up equity shares.

The newly issued shares will have equal ranking with the existing equity shares of the company. They are expected to be listed on both the Bombay Stock Exchange (BSE) and the National Stock Exchange (NSE), subject to compliance with applicable laws and regulatory approvals.

Sammaan Capital operates in the financial services sector, where promoter holdings and capital structure adjustments often play a key role in strategic planning and investor confidence. Warrant conversions like this one are a common mechanism used by promoters to increase their stakes in a company, reflecting their confidence in the business’s prospects.

This development is noteworthy as it potentially strengthens Avenir Investment's control over Sammaan Capital. The increased stake could influence future company decisions, corporate governance, and strategic direction. Investors and market watchers typically monitor such stake changes closely to gauge promoter sentiment and the likely impact on shareholder value.

The wider Indian equity market has seen a steady trend of preferential allotments and warrant conversions as companies seek capital through promoters and institutional investors. These transactions help firms meet their funding requirements while giving promoters opportunities to consolidate their ownership.

For Sammaan Capital, this capital infusion through warrant conversion enhances its financial standing and may support its growth initiatives. Investors will be keen to observe how the company utilizes this enhanced capital base moving forward.

In summary, Avenir Investment’s recent conversion of warrants worth Rs 906 crore into equity shares marks a substantial step in increasing its stake in Sammaan Capital to 33.32 percent, with the possibility of further increases if the remaining warrants are exercised before the September 2027 deadline.
