Adani Group Companies Resolve Public Shareholding Issues with SEBI
Adani Enterprises, along with Adani Power, Adani Ports and Special Economic Zone, and Adani Energy Solutions, has reached a settlement with the Securities and Exchange Board of India (SEBI) concerning alleged breaches of minimum public shareholding requirements. The combined payment made by these companies and their directors amounts to Rs 1.48 crore, resolving the regulatory proceedings initiated by SEBI.
The investigation by SEBI originated in 2020 following complaints about non-compliance with prescribed norms on public shareholding levels. These rules mandate that listed companies maintain a minimum percentage of shares held by the public to ensure sufficient liquidity and prevent excessive ownership concentration. SEBI's inquiry included these four Adani Group entities, with Adani Transmission now operating under the name Adani Energy Solutions.
These proceedings were part of a wider review prompted by allegations from US-based short seller Hindenburg in 2023, who accused certain Adani companies of manipulating share prices through offshore tax havens. The Adani Group has consistently denied these claims. SEBI conducted 24 investigations into various issues related to these companies, with the current case focusing specifically on the minimum public shareholding (MPS) norms.
The regulator issued a show-cause notice in September 2024, followed by a supplementary notice in March 2025, detailing the alleged violations. SEBI claimed that the four Adani entities and their responsible officers failed to maintain the necessary public shareholding as stipulated by securities laws and listing regulations.
Under Indian securities regulations, such MPS thresholds are designed to promote transparency and fair trading by ensuring a sufficient portion of company equity is widely held by the investing public. Failure to comply can lead to regulatory penalties and enforcement actions.
The settlement agreement allows the companies and their directors to resolve the matter without admitting or denying the allegations made by SEBI. This approach is common in regulatory settlements, providing closure while avoiding prolonged legal battles.
Specifically, Adani Enterprises and a group of directors including Gautam Adani, Rajesh Adani, Devang Desai, Vasant Adani, Ameet Desai, Pranav Vinod Adani, and Vinay Prakash contributed Rs 37.05 lakh as part of the total settlement.
Following the acceptance of this settlement, SEBI has closed its enforcement proceedings connected to the show-cause and supplementary notices issued in 2024 and 2025. The regulator also stated it will not initiate further action related to these specific violations against the companies or individuals involved.
This resolution marks the conclusion of one aspect of SEBI's broader scrutiny of the Adani Group's compliance with regulatory standards. The group operates across multiple sectors including energy, infrastructure, and ports, making adherence to listing norms crucial for investor confidence and market stability.
While this settlement resolves the public shareholding issue, the Adani Group continues to operate under close observation by market regulators amid ongoing scrutiny of its corporate practices.
