SEBI Suspends EKI Energy MD Manish Dabkara for Financial Misrepresentation
The Securities and Exchange Board of India (SEBI) has taken strict action against EKI Energy Services Ltd and some of its key executives following findings of financial misrepresentation and diversion of funds. The regulator has prohibited the Managing Director Manish Kumar Dabkara from participating in securities market activities for a period of 12 months. EKI Energy Services itself has been barred for two months.
SEBI's inquiry also affected other senior company officials. Former Chief Financial Officer Mohit Kumar Agarwal has been suspended from the securities market for eight months. Whole-time directors Naveen Sharma and Sonali Sheikh have been restricted for five months and one month respectively. Alongside these market bans, the regulator has imposed financial penalties totaling Rs 88 lakh on the company and involved individuals for various violations under securities laws.
In its comprehensive 94-page final order, SEBI highlighted that EKI Energy Services had recognized revenue prematurely amounting to Rs 197.04 crore during the first three quarters of the financial year 2023. This early revenue booking distorted the company’s true financial condition, misleading investors who rely on accurate reporting to make decisions. SEBI described this action as reckless misrepresentation that directly impacted market participants' perceptions of the company’s shares.
Furthermore, the investigation revealed that EKI overstated its expenses by Rs 26.34 crore across fiscal years 2022 and 2023. This manipulation led to an understatement of profits, effectively diverting funds from the company. The regulator pointed out that these inflated expenses were linked to fictitious services that were never actually rendered, confirming that payments related to these false expenses constituted a misuse of EKI’s financial resources.
SEBI placed significant responsibility on Manish Kumar Dabkara for allowing the publication of false financial data and failing to ensure adequate supervision over the company’s financial reporting mechanisms. Naveen Sharma, Sonali Sheikh, and Mohit Kumar Agarwal were also held accountable for breaches of regulatory requirements.
As part of the penalties, SEBI fined EKI Energy Services Rs 12 lakh and levied Rs 28 lakh on Dabkara personally. Naveen Sharma was fined Rs 13 lakh, Sonali Sheikh Rs 6 lakh, and Mohit Kumar Agarwal Rs 19 lakh. Additionally, the regulator imposed monetary penalties on independent directors Ritesh Gupta and Burhanuddin Ali Husain Maksi Wala, as well as former compliance officer Itisha Sahu. Sahu was fined Rs 2 lakh, while Gupta and Maksi Wala each faced Rs 4 lakh in penalties.
The regulator has mandated that all fines must be paid within 45 days. Dabkara has also been directed to take immediate measures to recover the diverted funds from the company.
EKI Energy Services operates in the carbon credits trading sector, a market that has been expanding alongside growing environmental awareness and regulatory frameworks aimed at reducing carbon footprints. Accurate financial disclosures in this sector are crucial, as investors rely on transparency to assess risks and opportunities tied to environmental and sustainability-linked businesses.
This development highlights the vigilance of Indian market regulators in enforcing financial discipline and protecting investor interests. It also serves as a reminder to companies listed on Indian exchanges about the importance of adhering to stringent reporting standards, particularly in emerging sectors where regulatory scrutiny is intensifying.
